Client Overview
Our client is a publicly listed (Tbk) Indonesian construction and engineering company with extensive experience in major FDI and infrastructure projects across Indonesia. The company provides integrated engineering, procurement, and construction services across building construction, civil engineering, mechanical and electrical works, and industrial infrastructure.
With a strong portfolio of large-scale industrial and commercial developments, the company works closely with multinational and international investment partners. As a public company, it operates within a highly regulated corporate environment and maintains close coordination with Indonesian regulators, capital market institutions, and overseas stakeholders.
Job Role
The Head of Legal – Chinese Speaker will lead the company's legal, corporate governance, capital market compliance, contract management, and dispute resolution functions in Indonesia.
Reporting to the CEO and Board of Directors, this role will serve as a key legal advisor to senior management while acting as a bridge between Indonesian operations, regulators, external legal counsel, and Group leadership in China.
The ideal candidate brings strong experience in a publicly listed company or leading corporate law firm, with deep knowledge of Indonesian capital market regulations and the ability to operate confidently across Indonesian, English, and Mandarin-speaking stakeholders.
Key Responsibilities
Capital Market Compliance & Corporate Governance
Lead the company's legal and corporate compliance framework in accordance with Indonesian Company Law, capital market regulations, OJK requirements, and IDX rules.
Oversee mandatory public disclosures, periodic reporting, and regulatory compliance for material and affiliated transactions.
Conduct legal and compliance risk assessments for investments, financing, business operations, and major corporate actions.
GMS & Corporate Actions
Lead the legal preparation, documentation, announcements, and execution of Annual and Extraordinary GMS/RUPS.
Provide legal support for corporate actions, including share issuances, acquisitions, restructurings, dividend distributions, and other capital market activities.
Coordinate with Corporate Secretary, notaries, regulators, and relevant stakeholders to ensure proper execution and documentation.
Contract Management & Legal Documentation
Draft, review, negotiate, and manage commercial, procurement, employment, vendor, and corporate agreements.
Develop and maintain standardized legal templates and documentation to improve consistency and reduce legal and operational risks.
Maintain contract records, corporate documentation, and legal compliance tracking.
Dispute Resolution & Legal Risk Management
Lead legal matters involving commercial, employment, regulatory, and corporate disputes.
Manage negotiations, mediation, arbitration, and litigation processes while protecting the company's commercial interests and reputation.
Handle employment-related legal matters, including PKWT, PKWTT, termination, and Industrial Relations Court (PHI) matters.
Coordinate with external counsel on complex litigation and specialized legal matters.
Regulatory Advisory
Monitor developments in OJK, IDX, employment, foreign investment, corporate, trade, and industrial regulations.
Provide legal opinions and practical recommendations to the Board of Directors and senior management.
Support internal compliance initiatives and legal awareness programs across business units.
External & Cross-Border Stakeholder Management
Maintain professional relationships with OJK, IDX/BEI, KSEI, AHU/Kemenkumham, notaries, regulators, and external law firms.
Coordinate legal matters between the Indonesian entity and Group/HQ legal teams in China.
Facilitate clear communication and alignment on cross-border corporate, contractual, and regulatory matters.
Requirements
Master's Degree (S2) in Law from a reputable university.
Minimum 10 years of progressive legal experience, preferably with substantial experience in a publicly listed company (PT Tbk) or a leading corporate/capital markets law firm.
Strong understanding of Indonesian Company Law, capital market regulations, OJK and IDX requirements, and relevant POJK regulations.
Proven experience handling GMS/RUPS, corporate actions, public disclosures, and complex commercial contracts.
Strong experience in corporate governance, contract management, industrial relations, dispute resolution, and litigation management.
Fluent Mandarin, both written and spoken, with the ability to communicate directly with China-based Group/HQ stakeholders.
Fluent English and Bahasa Indonesia, particularly for professional, legal, contractual, and regulatory matters.
Strong commercial judgment, executive communication and presentation skills, attention to detail, and high integrity.
