Commercial Legal Manager

• Draft, review, and negotiate commercial agreements, including distribution, dealership, key account, retail, marketplace, partnership, vendor, and service agreements.
• Provide legal advice on commercial activities, sales programs, promotions, pricing arrangements, marketing campaigns, and business partnerships.
• Identify and mitigate legal and contractual risks arising from commercial transactions and business initiatives.
• Ensure commercial activities and agreements comply with applicable laws, regulations, company policies, and internal governance.
• Support Commercial & Marketing teams in structuring new channels, partnerships, and strategic business arrangements.
• Manage contract lifecycle, including review, approval, renewal, amendment, termination, and legal documentation.
• Support the handling of commercial disputes, claims, breaches of contract, and settlement negotiations.
• Coordinate with external legal counsel and relevant stakeholders when specialized legal support is required.
• Monitor regulatory developments that may impact the company’s commercial, distribution, retail, and marketing activities.
• Perform special legal assignments and ad hoc projects as assigned by management.

Kualifikasi

• Bachelor’s degree in Law (S.H.).
• Minimum 5 years of experience in Commercial or Corporate Legal.
• Strong experience in drafting, reviewing, and negotiating commercial agreements.
• Good understanding of contract, commercial, distribution, consumer protection, and competition laws.
• Strong legal analysis, negotiation, risk assessment, and business acumen.
• Able to provide practical and business-oriented legal solutions.
• Proficient in Bahasa Indonesia and English, particularly for legal documents.
• Experience in retail, distribution, FMCG, or consumer electronics is preferred.
